NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into as of 2026-02-27, by and between:

1. CONFIDENTIAL INFORMATION
The Receiving Party agrees to hold in strict confidence all information disclosed by the Disclosing Party relating to: [Project/Purpose].

2. OBLIGATIONS
The Receiving Party shall: (a) protect the confidential information with at least the same degree of care used to protect its own confidential information; (b) not disclose the information to third parties without prior written consent; (c) use the information solely for the purpose of evaluating or engaging in the business relationship described herein.

3. TERM
This Agreement shall remain in effect for a period of two (2) years from the date first written above, unless earlier terminated by mutual written consent.

4. RETURN OF INFORMATION
Upon request, the Receiving Party shall promptly return or destroy all confidential materials and certify such destruction in writing.

5. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

6. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.
